Fort Lee, New Jersey, March 17, 2008 - American Banknote Corporation, parent of the ABnote Group, announced today that it has acquired Keystone Manufacturing (Plastics) Ltd., of Toronto, Canada, for an undisclosed amount of cash.
The acquisition of Keystone, one of Canada’s premier plastic card companies, provides the world-wide ABnote Group access to Keystone’s richly diversified suite of customers, along with the ability to take advantage of Keystone’s highly regarded reputation in smart cards. In addition, ABnote announced Bud Kronenberg would remain at the helm of the company together with the current management team.
As a result of the transaction, Keystone will gain immediate access to a wide range of new technologies including Arthur Blank’s “green” initiatives. Keystone will supplement its existing product lines through ABnote’s global strength in secure card issuance and cutting-edge identification products, as well as through its complimentary secure printing, warehousing, fulfillment services and information technology.
We are extremely proud to be able to acquire a company of the quality, experience and stature of Keystone,” stated Steven Singer, Chairman and Chief Executive of American Banknote Corporation. “Keystone allows us to enter Canada at a very exciting time as the banking community migrates towards EMV and as cross border identification becomes paramount between the USA and Canada.
Keystone has built a unique brand in Canada - being able to leverage the dominant skill sets and exceptional knowledge base that ABnote has attained means that Keystone will be able to become an even more significant force in the Canadian marketplace”, stated Bud Kronenberg, CEO of Keystone. “ABnote is accelerating into one of the world’s largest secure document, transaction and fulfillment companies and it is with a great sense of pride that my team joins forces with a market leader.
Notes Justin DeAngelo, Chief Operating Officer of American Banknote, and one of the credit card industry’s most respected figures, “Acquiring Keystone fulfills in part our strategic growth plan, further enabling us to become a major global force in both the secure and non-secure elements of card production and fulfillment. Keystone has carved out a unique niche in the non-secure smart card market and we intend to leverage this knowledge globally.

Keystone has been chosen to supply all smart card loyalty and gift certificates for the most advanced family of loyalty products in the marketplace today.
Never before has a loyalty product delivered as much as Community Power Points, the advanced loyalty and gift certificate program available from Community Power Points Corporation. Combining the benefits for merchants as well as consumers, great care has been taken to consider the needs for all participants in the program.
The Community Power Points Program evolved after a comprehensive survey of merchants and consumer statistics from various age groups, income brackets, and interest categories. Included in the program are long-term provisions for the benefit of charity and non-profit organizations, as well as our children’s future education.
The program is driven by Smart Card Technology bundled with advanced Point of Sale hardware that accepts credit, debit, and loyalty transactions - all integrated on the same terminal. For this reason any merchant regardless of size or resources can use this program. Community Power Points Corporation is proud to provide merchants with advanced marketing tools that level the playing field with the larger competitors. See the program at www.communitypowerpoints.com.
“With the program focus on smart chip card technology for both our Loyalty Card and Gift Card, we are pleased to have Keystone Manufacturing (Plastics) Ltd. provide our superior card product. Keystone’s card is an essential tool that makes it possible for Community Power Points to deliver the ultimate program", says Steven Edmunds, VP Loyalty. “We recognize Keystone’s experience as Canada’s largest smart card producer as well as their ability to fulfill the specific needs of the Community Power Points Program that set us apart from any other program.”
“Keystone will also provide complete fulfillment services such as custom card carrier personalization, matching, and card affixing. Also, our unique approach to manufacturing custom retail gift cards will virtually eliminate the painful product-to-market lead times that are common in the industry. This way a merchant of any size can enjoy the benefits of a customized card program immediately, which is acutely desirable in this environment,” says Dan Silc, Manager Smart Card Technologies. “A merchant’s interest in a custom gift card program is higher when that program can go from concept to market in a very short period of time.”
